GODOT ASSET STORE LEGAL TERMS
The Godot Asset Store website is operated by the Godot Foundation (Stichting Godot, Spoorlaan 5, NL-1911HA Uitgeest, registered in the Netherlands under number 87351919, hereafter “the Godot Foundation”). It is a platform designed for providers of software and assets related to the Godot Project (https://godotengine.org/) to offer such software and assets to users, and for said users to obtain such software and assets (hereafter “the Platform”). Providers of such software and assets are hereafter referred to as “Providers” and users as “Users”.
User accounts and binding terms
Using the Platform as a Provider requires creating an account on this website and providing the information required to create such an account. Users can also register an account in order to benefit from specific features. Both Users and Providers may only use this Website and upload or download assets and software on the Platform if they have the legal capacity, under applicable laws, to do so (e.g. legal age if they are natural persons, legal capacity if they are corporations).
By using this Website and the Platform, Users and Providers agree to be bound by the present terms, which form an agreement with the Godot Foundation for the use of the Platform. These terms may be modified from time to time by the Godot Foundation, through a modification of said terms on this website and / or electronic notification using the email provided by Providers and Users when opening their account. The agreement formed between the Godot Foundation and Providers / Users by these terms may not be transferred or assigned to any third party by the Provider or the User.
Marketplace platform
The Platform is operated by Godot Foundation, but Providers are fully and solely responsible for the software and assets they upload and Users are fully responsible for the way they use such assets and Software. The Godot Foundation has no responsibility in connection with the software and assets that are available on the Platform. The Godot Foundation is not the seller, nor the provider of such software and assets, it merely grants access to the website, as a platform, to both Providers and Users.
The Godot Foundation is not obliged to accept all software or assets that a Provider wishes to upload, nor any content that Providers and Users may provide. It may refuse or terminate, without notice and at its sole discretion, access to any software or asset that has been uploaded, whether for sale or for free, at all times, and more generally any content provided by Providers and Users. Prohibited content includes, but is not limited to:
- Any content that is prohibited by applicable laws and regulations;
- Any content that is degrading user experience, including viruses, malicious code, junk, spam and unsolicited content;
- Any content that is deceitful, discriminatory, intimidating, harassing, defaming, threatening others, or violating the legal rights of others, such as the rights to privacy;
- Any content violating copyright, trademark or other intellectual property;
- Any content that is degrading the image and reputation of the Godot Project or the Godot Foundation.
The Godot Foundation may close any account, at its sole discretion and without notice, for any reason, such as, but not limited to : providing content that is prohibited under these terms, hacking or tampering with the IT systems linked to the Platform, providing deceitful or incorrect information or otherwise degrading the services provided in connection with the Platform.
Providers of software and assets
Once they have registered an account and provided the full and accurate information required to do so, Providers may upload software and assets on the Platform, using the Platform’s backend. They can choose to offer their content for free (with or without the possibility of making a donation) or, if such an option is made available to them by the Godot Foundation, for the price they set, at their discretion, in the Platform’s backend.
By uploading any content (software, assets or other content) on this website Providers shall retain full ownership rights on the intellectual property related to such content, but they:
grant a worldwide, non-exclusive, unlimited, assignable, sublicensable royalty-free license to the Godot Foundation to use, reproduce, distribute, display and perform the content in connection with the Platform, including without limitation for promoting, redistributing in any and all media formats, for as long as the Provider has a registered account on the Platform and at least one month after such account has been terminated.
grant a worldwide non-exclusive, unlimited, perpetual, unassignable license to the Users who access or download such content lawfully using the Platform (and paying for such license if a price has been set for the content by the Provider in accordance with these terms), to use, integrate and modify such content at their discretion. If Providers want to add specific license terms for the use of their content, such terms must be clearly and explicitly agreed to in writing by the Users before Users are required to make any financial contribution in order to access and use the content.
By accepting to use the Platform, Providers accept to enter into agreements with the Users. Providers shall be in charge of their own customer support and they shall provide Users with the possibility of contacting them for that purpose. Providers shall provide the highest quality of customer service for Users and commit to complying with all applicable laws concerning customers and, as the case may be, consumers.
Providers agree to indemnify, pay the defense costs of, and hold harmless the Godot Foundation, its affiliates and their respective officers, shareholders, partners, representatives, agents and employees from any and all liability, loss, damages, claim and expense (including reasonable attorney’s fees), related to or arising from any violation of these terms and any infringement of any intellectual property or other right as a result of the content they provide on the Platform.
These terms shall in no way create a relationship between the Providers and the Godot Foundation in the form of a joint venture, partnership, association, corporation or employment.
Users of software and assets
Users accept that the content they download from this website is provided “as is”, without guarantees from the Godot Foundation and only with the guarantees provided by Providers as resulting from mandatory laws that are applicable to the provision of content by the Providers to the Users.
For all customer support issues, Users will contact the Provider directly through the Provider’s contact details provided on this website.
Each Provider is responsible for creating their own refund, returns and cancellation policy. Providers will comply with all applicable mandatory e-commerce laws and, as the case may be, consumer laws. All returns or refund requests will be dealt with directly between the Provider and the User through the contact details provided for on this website in order to contact the Provider.
Financial aspects
Whenever Providers have opted for setting a price or receiving donations for the content they uploaded on the Platform:
they shall use the payment services of third party providers (such a Paypal or Stripe) which the Godot Foundation has selected for the Platform in order to collect the sums concerned ;
they accept that the Godot Foundation receives a net commission, in the amount specified when uploading the content, on any net revenue generated by sales or donations through the Platform, which shall be deducted automatically from the amount, net of any sales tax, collected through the above-mentioned third party payment service providers, and that this commission shall not be refunded in any circumstance once the revenue is generated ;
they accept that the revenues generated on the Platform through sales, donations, both for them and for the Godot Foundation, may be subject to a sales tax or added value tax (VAT), which shall be deducted from any amount due to them, and that the Godot Foundation may directly withhold any taxes, duties, charges or levies on payments under these terms as may be required by applicable laws.
The Godot Foundation is not responsible for the payment services provided by third parties in connection with the Platform. Providers shall provide the Godot Foundation with the appropriate accurate and lawful information required to make all payments under these terms, as well as to make any relevant filings with authorities, as applicable, in relation to these payments.
Absence of warranty
The Godot Foundation does not provide any guarantee of whatever sort, other than those that are mandatory by law.
In particular:
- It does not guarantee the good functioning, maintenance and accessibility of this Platform, the absence of hacking or fraud ;
- It does not guarantee to Providers any sort of promotional activity, customer support, market suitability or the adequation of this website for meeting their business purposes ;
- It does not guarantee to Users that the content provided by Providers is without defects, fit for purpose, compliant with any laws or regulations, suited to their specific needs or of any level of quality or performance.
Both Providers and Users accept that by using the website to access certain content, they are aware of the risks they are taking and shall hold the Godot Foundation harmless from any consequences of such risks. The Godot Foundation’s only implication in this process is to provide an electronic exchange Platform as an intermediary between Providers and Users, who shall deal between themselves with any issues they encounter in re lation to the content provided through such Platform.
Data privacy
The Godot Foundation automatically collects certain information about the device of any person using the Platform, including information about web browser, IP address, time zone, and some of the cookies that are installed on said device. Information may also be collected about the individual web pages or products that are viewed, the websites or search terms that referred to the Platform and information about how users interact with the website. Such information may be collected through cookies and logs.
The Godot Foundation also collects all data provided by Providers and Users when creating an account and generating transactions on the Platform, such as names, billing address, shipping address, email address, and phone number. Credit card and payment data may be collected by third party payment providers but are not stored by the Godot Foundation.
The Godot Foundation uses the collected information exclusively for implementing the services that are provided on the Platform, such as fulfilling orders and passing them onto the Users and Providers concerned, communicating with Providers and Users, improving performance of the Platform and, if this has been explicitly accepted by the person concerned, promotional and marketing activities. Data concerning Providers and Users is kept on record as long as they have a registered account on the Platform.
The Godot Foundation does not share information with third parties, except where required under applicable law, or to the Providers / Users concerned so they can operate the services for which the Platform is used.
Any European Union resident has the right to access personal information held about it and to ask that such personal information be corrected, updated, or deleted. Any person who would like to exercise this right should contact the Godot Foundation through the contact provided on the website.
Term and termination
The agreement formed between the Godot Foundation and Providers / Users pursuant to these terms shall commence on the date an account is registered and continue unless terminated pursuant to these terms.
The Godot Foundation, Users and Providers may terminate this agreement at all times, provided, as concerns the Providers and Users, that they have fulfilled all their obligations under such agreement (such as delivery obligations for the Provider or payment obligations for the User).
The effects of termination shall be the following:
- All commissions or other payments owed to the Godot Foundation shall become immediately due ;
- If the termination concerns a Provider, the content of such Provider shall be removed from the Platform within a reasonable period of no less than one month;
- All provisions of these terms that by nature, must perdure, shall survive the expiration of the agreement. In particular, Users shall retain all licenses and rights to the content they obtained through the Platform even after such content is removed from the Platform.
Miscellaneous
If any part of these terms is declared unenforceable or invalid, the remainder will continue to be valid and enforceable. Tolerance by the Godot Foundation in the enforcement of these terms shall never be construed as renouncing to any of such terms.
These terms are governed by the laws of The Netherlands. Users who are consumers under EU law and who have their habitual residence in the EU may additionally enjoy the protection provided by obligatory provisions of the law of their country of residence.
All disputes relating to the use of the Platform shall be handled, in the first instance, through discussions and by mutual agreement. Disputes that cannot be resolved in this way shall be subject to the exclusive jurisdiction of the courts of Amsterdam, The Netherlands.
